Draft, distribute, and finalize board meeting agendas, comprehensive board packs, detailed minutes, and approved resolutions strictly in accordance with established deadlines.

You will be responsible for organizing the Annual General Meeting (AGM), Extraordinary General Meetings (Eggs), and committee meetings.

Responsible for creating, evaluating, and protecting corporate documents, board charters, governance policies, and share certificates.

Maintain and update the company’s statutory registers, including the register of members and directors, as well as other relevant corporate records.

Responsible for assembling, organizing, and submitting all statutory and regulatory reports to the Central Bank of Nigeria (CBN), including prudential returns, board composition filings, significant shareholding notifications, and any additional CBN-required submissions, while strictly adhering to established deadlines.

Prepare and submit annual returns, director and officer changes, share capital increases, special resolutions, and other mandated documents to the Corporate Affairs Commission (CAC) in compliance with statutory deadlines.

Prepare and file periodic and ad hoc returns with regulatory authorities, including the Securities and Exchange Commission (SEC), Nigerian Exchange Group (NGX), National Pension Commission (PEN COM), Federal Inland Revenue Service (FIRS), and any other relevant regulatory bodies.

Coordinate the preparation and submission of Know-Your-Customer (KYC) and Anti-Money Laundering/Countering the Financing of Terrorism (AML/CFT) documentation in accordance with the standards set by the Central Bank of Nigeria (CBN) and the Nigerian Financial Intelligence Unit (FIU) guidelines.

Oversee legal communications, intellectual property submissions, and contract management activities.

Collaborate with external legal representatives, auditors, and regulatory advisors to address compliance and governance-related concerns.

Requirements

A bachelor’s degree in law, business administration, or a related field is required.

Membership at the level of Associate or Fellow of the Institute of Chartered Secretaries and Administrators of Nigeria (IC SAN) is a mandatory qualification for this position.

Candidates must possess a minimum of four to eight years of professional experience in Company Secretarial or corporate governance functions, with preference given to those who have worked within institutions regulated by the Central Bank of Nigeria, such as banks, microfinance banks, finance companies, or insurance firms.

Proven expertise in preparing and submitting regulatory filings with key Nigerian bodies, including the Central Bank of Nigeria (CBN), Corporate Affairs Commission (CAC), and Securities and Exchange Commission (SEC), as well as other applicable regulatory authorities.

Possesses comprehensive expertise in CAME 2020, the CBN Corporate Governance Code, SEC Regulations, and the applicable Nigerian corporate governance frameworks.

Proficiency in CBN Prudential Guidelines, AML/CFT regulations, and FIU reporting obligations would be highly beneficial.
