Prepare and distribute board meeting agendas, board packs, minutes, and resolutions in accordance with established deadlines.
Organize and oversee the Annual General Meeting (AGM), Extra-Ordinary General Meetings (Eggs), and committee meetings, ensuring all logistical and procedural aspects are managed efficiently.
Responsible for preparing, evaluating, and protecting corporate documents, including board charters, governance policies, and share certificates.
You are responsible for the ongoing maintenance and updating of the company’s statutory registers, including the register of members and directors’ register, as well as other essential corporate records.
Prepare and submit all statutory and regulatory returns to the Central Bank of Nigeria (CBN), such as prudential returns, board composition filings, significant shareholding notifications, and other mandated submissions, strictly adhering to established deadlines.
Prepare and submit annual returns, director/officer changes, share capital increases, special resolutions, and other mandated filings to the Corporate Affairs Commission (CAC) in adherence to statutory deadlines.
Prepare and file regular and ad-hoc returns with regulatory bodies, including the Securities and Exchange Commission (SEC), Nigerian Exchange Group (NGX), National Pension Commission (PEN COM), Federal Inland Revenue Service (FIRS), and any other relevant authorities.
Ensure compliance with Know-Your-Customer (KYC) and Anti-Money Laundering/Countering the Financing of Terrorism (AML/CFT) documentation requirements, as mandated by the Central Bank of Nigeria (CBN) and the Nigerian Financial Intelligence Unit (FIU) guidelines.
Handle legal communications, oversee intellectual property submissions, and administer contracts with precision and efficiency.
Engage collaboratively with external legal advisors, auditors, and regulatory specialists to address compliance and governance-related concerns.
Requirements
A Bachelor’s degree in Law, Business Administration, or a closely related field is required.
Membership at either the Associate or Fellow level with the Institute of Chartered Secretaries and Administrators of Nigeria (IC SAN) is a prerequisite for this role.
A minimum of four to eight years of relevant post-qualification experience is required, with a strong preference for candidates who have worked in a Company Secretarial or corporate governance capacity within a CBN-regulated institution, such as a bank, microfinance bank, finance company, or insurance firm.
Proven practical experience in submitting returns to the Central Bank of Nigeria (CBN), Corporate Affairs Commission (CAC), Securities and Exchange Commission (SEC), and other relevant Nigerian regulatory authorities.
Proficiency in CAME 2020, the CBN Corporate Governance Code, SEC Regulations, and Nigerian corporate governance frameworks is required.
Proficiency in CBN Prudential Guidelines, AML/CFT regulations, and FIU reporting requirements presents a significant competitive edge.
