Compile board meeting agendas, board packs, minutes, and resolutions, ensuring their timely distribution in accordance with established deadlines.
Organize and oversee the Annual General Meeting (AGM), Extraordinary General Meetings (Eggs), and committee sessions to ensure seamless execution and adherence to organizational protocols.
Draft, prepare, and maintain corporate documents, board charters, governance policies, and share certificates, ensuring their accuracy, compliance, and security at all times.
Responsibilities include ensuring the accuracy and currency of the company’s statutory registers, the register of members, the directors’ register, and all other essential corporate records.
Compile, organize, and submit all statutory and regulatory returns to the Central Bank of Nigeria (CBN)—such as prudential returns, board composition filings, significant shareholding notifications, and other CBN-required submissions—strictly adhering to the stipulated deadlines.
Prepare and file annual returns, director/officer changes, share capital increases, special resolutions, and other statutorily required documents with the Corporate Affairs Commission (CAC) within the prescribed regulatory deadlines.
Prepare and file both periodic and event-driven returns in compliance with regulatory requirements for the Securities and Exchange Commission (SEC), Nigerian Exchange Group (NGX), Pension Commission (PEN COM), Federal Inland Revenue Service (FIRS), and any other relevant regulatory authorities.
Ensure adherence to Know-Your-Customer (KYC) and Anti-Money Laundering/Countering the Financing of Terrorism (AML/CFT) documentation standards as stipulated by Central Bank of Nigeria (CBN) and Nigeria Financial Intelligence Unit (FIU) guidelines.
Oversee the preparation and handling of legal communications, intellectual property submissions, and contract management activities.
You will collaborate with external legal advisors, auditing firms, and regulatory specialists to address compliance and governance-related concerns.
Requirements
A Bachelor’s degree in Law, Business Administration, or a comparable field is required.
Membership as an Associate or Fellow of the Institute of Chartered Secretaries and Administrators of Nigeria (IC SAN) is mandatory for this role.
4–8 years of post-qualification experience in company secretarial or corporate governance, ideally within a CBN-regulated entity such as a bank, microfinance bank, finance company, or insurance firm.
Proven expertise in preparing and submitting returns to the Central Bank of Nigeria (CBN), Corporate Affairs Commission (CAC), Securities and Exchange Commission (SEC), and other relevant Nigerian regulatory authorities is required.
Proficiency in CAME 2020, the CBN Corporate Governance Code, SEC Regulations, and Nigerian corporate governance frameworks is required.
Proficiency in CBN Prudential Guidelines, AML/CFT regulations, and FIU reporting obligations would be a significant benefit.
