Prepare and submit annual returns, director/officer changes, share capital increases, special resolutions, and others statutorily required documents to the Corporate Affairs Commission (CAC) in strict adherence to prescribed deadlines.
Prepare and file required regulatory returns—both periodic and event-driven—with the Securities and Exchange Commission (SEC), Nigerian Exchange Group (NGX), National Pension Commission (PEN COM), Federal Inland Revenue Service (FIRS), and other relevant regulatory authorities as mandated by applicable laws and guidelines.
Oversee the preparation and maintenance of Know-Your-Customer (KYC) and Anti-Money Laundering/Countering the Financing of Terrorism (AML/CFT) documentation in strict adherence to Central Bank of Nigeria (CBN) and Nigerian Financial Intelligence Unit (FIU) regulatory standards.
Oversee the preparation and handling of legal communications, intellectual property submissions, and contract management processes to ensure compliance and accuracy throughout all stages.
Collaborate with external legal advisors, auditors, and regulatory specialists to address compliance and governance issues.
The successful candidate must possess a minimum of five years of experience in a related field, alongside a bachelor’s degree in a relevant discipline. Proficiency in industry-standard software and tools is essential, along with strong analytical and problem-solving abilities. Excellent communication skills, both written and verbal, are required to collaborate effectively with cross-functional teams. Familiarity with project management methodologies and a proven track record of delivering high-quality results are also necessary. A bachelor’s degree in law, business administration, or an equivalent field is required.
Membership at either the Associate or Fellow level with the Institute of Chartered Secretaries and Administrators of Nigeria (IC SAN) is a mandatory qualification.
A minimum of four to eight years of professional experience in Company Secretarial or corporate governance is required, ideally within a CBN-regulated institution such as a bank, microfinance bank, finance company, or insurance firm.
Proven expertise in preparing and submitting returns to the Central Bank of Nigeria (CBN), Corporate Affairs Commission (CAC), Securities and Exchange Commission (SEC), and other relevant Nigerian regulatory authorities.
Proficient in CAME 2020, CBN Corporate Governance Code, SEC Regulations, and Nigerian corporate governance frameworks.
Proficiency in CBN Prudential Guidelines, AML/CFT regulations, and FIU reporting requirements represents a significant benefit for this role.
