Oversee and execute a range of critical duties, including but not limited to managing projects from inception to completion, coordinating cross-functional teams, and ensuring adherence to established timelines and budgets. Develop and implement strategic initiatives to enhance operational efficiency, drive innovation, and align with organizational objectives. Collaborate with stakeholders to identify opportunities for improvement, mitigate risks, and foster a culture of continuous growth. Prepare comprehensive reports, analyze performance metrics, and present findings to senior leadership to inform data-driven decision-making. Maintain compliance with industry regulations and internal policies while upholding the highest standards of professionalism and accountability.
Draft and distribute board meeting agendas, supporting documentation, detailed minutes, and formal resolutions in adherence to established deadlines.
Organize and oversee the Annual General Meeting (AGM), Extraordinary General Meetings (Eggs), and committee sessions to ensure seamless execution and adherence to established protocols.
Craft, evaluate, and protect corporate documents, including board charters, governance policies, and share certificates.
Oversee the maintenance and regular updates of the company’s statutory registers, member register, directors’ register, and other essential corporate documentation.
Prepare and submit all statutory and regulatory returns, including prudential returns, board composition filings, significant shareholding notifications, and any other submissions mandated by the Central Bank of Nigeria (CBN), in accordance with the stipulated deadlines.
Prepare and submit annual returns, director or officer changes, share capital increases, special resolutions, and other mandated filings to the Corporate Affairs Commission (CAC) in strict adherence to statutory deadlines.
Prepare and file regular and ad-hoc returns with the Securities and Exchange Commission (SEC), Nigerian Exchange Group (NGX), PEN COM, FIRS, and any other relevant regulatory authorities as required.
Oversee the preparation and management of Know-Your-Customer (KYC) and Anti-Money Laundering/Counter-Financing of Terrorism (AML/CFT) documentation in strict adherence to Central Bank of Nigeria (CBN) and National Financial Intelligence Unit (FIU) regulatory guidelines.
Oversee legal communications, intellectual property registrations, and contract management processes.
Collaborate with external legal advisors, auditors, and regulatory specialists to address compliance and governance concerns.
Requirements
A bachelor’s degree in law, business administration, or a comparable field is required.
Membership at either the Associate or Fellow level with the Institute of Chartered Secretaries and Administrators of Nigeria (IC SAN) is mandatory.
A minimum of four to eight years of post-qualification experience in Company Secretarial or corporate governance is required, with preference given to candidates who have worked within a CBN-regulated institution, such as a bank, microfinance bank, finance company, or insurance firm.
Proven practical experience in preparing and submitting returns to the Central Bank of Nigeria (CBN), Corporate Affairs Commission (CAC), Securities and Exchange Commission (SEC), and other relevant Nigerian regulatory authorities is required.
Proficient understanding of CAME 2020, the CBN Corporate Governance Code, SEC Regulations, and Nigerian corporate governance frameworks is required.
Proficiency in the CBN Prudential Guidelines, AML/CFT regulations, and FIU reporting requirements would be a valuable asset.
