Job Summary
A proactive and detail-oriented Legal & Governance Lead is sought to deliver comprehensive legal, regulatory, and governance guidance across all Angela entities. This position will be responsible for contract oversight, legal risk mitigation, regulatory liaison, and dispute resolution, while also contributing to key strategic initiatives including mergers and acquisitions, project development, and market expansion efforts.
Oversee and execute a broad range of duties and responsibilities encompassing key operational and strategic functions, ensuring alignment with organizational objectives and industry standards. Provide leadership in managing projects, teams, and processes while maintaining rigorous adherence to established policies, deadlines, and performance metrics. Collaborate cross-functionally to drive efficiency, innovation, and continuous improvement across all assigned areas of responsibility. Evaluate and optimize workflows to enhance productivity, quality, and scalability, while mitigating risks and ensuring compliance with regulatory and ethical guidelines. Foster a culture of accountability, professional development, and team cohesion to achieve sustainable growth and operational excellence.
Delivers legal services with adherence to industry-leading best practices across assigned transactions.
Deliver expert and thorough legal counsel, drafting and examining legal opinions and agreements upon user request.
Engage in commercial discussions for transactions involving Angela and its subsidiaries, preparing, evaluating, and summarizing critical terms within commercial agreements while securing required internal approvals.
Offer expert legal counsel to Angela Entities regarding the legal ramifications of potential policies, decisions, and actions across diverse practice areas, including midstream gas, mergers and acquisitions, power, employment law, contract management, litigation, leases, regulatory compliance, and intellectual property matters.
Interpret and apply new legislative and regulatory developments, delivering timely updates and insights to Angela’s internal teams and departments, while advising management on the requisite measures needed to ensure compliance and operational alignment.
Offer comprehensive dispute resolution management assistance to Angela Entities while collaborating closely with the Legal Manager to address Angela’s litigation matters and any other dispute resolution needs as they arise.
Build and maintain effective communication channels with external legal counsel to ensure timely receipt of progress reports regarding active litigation matters.
Deliver thorough assistance for Corporate Secretarial and Compliance functions related to corporate transactions and specialized initiatives, including acquisitions, board evaluations, and other strategic undertakings.
Offer strategic guidance to enhance the corporate compliance framework by pinpointing and executing necessary enhancements to the compliance program structure.
Draft board papers, resolutions, and other essential documentation to facilitate informed decision-making by the Board and to ensure the effective implementation of its resolutions.
Prepare routine correspondence, legal documents, and case files for filing and archival purposes.
Maintains up-to-date electronic and paper-based databases under the legal department’s purview, performing regular updates and revisions as needed.
Collaborate with the Angela Finance team to facilitate timely processing of all legal invoices.
Performs any additional duties as assigned by the General Counsel, Company Secretary, or Legal Manager, as necessary.
Requirements
A recognized university degree in Law, with at least a second-class honor, is required.
Requires a minimum of seven years of legal experience, obtained either through employment at a prestigious law firm or within a corporate legal department.
