Team Lead, Legal/Company Secretary

JOB SUMMARY

We are looking for a Team Lead, Legal/Company Secretary who will ensure that all Companies in the Prosperis portfolio comply with relevant legislation and regulations, and keep board members informed of their legal responsibilities. Prepare for, supervise preparations, and convene, board and general meetings, which includes preparation of board packs, notices, minutes, etc. Conduct relevant legal research, draft legal documents, opinions, correspondences and organize, as well as, maintain the departments filing system. Provide accurate and timely legal advice. File regulatory documents. Supervise the activities of the department and ensure compliance with statutory corporate governance provisions.

ESSENTIAL JOB FUNCTIONS

Draft, review, negotiate, and organize all legal documents;
Conduct research of statutes, regulations, laws, and legal articles to assist with the regulatory documents;
Provide timely legal advice and opinions, as well as assist with regulatory filings;
Liaise with external Lawyers and Regulators;
Debt recovery, management of debt portfolio, and engagement & supervision of debt recovery Lawyers & Agents;
Manage, organize, and maintain legal documents in paper and electronic filing systems;
Provide general legal support, such as managing & maintaining the legal departments’ ;
Company Secretarial duties such as preparing board packs, sending notices, convening board and general meetings, drafting resolutions, CAC fillings, etc.
Ensure compliance with, as well as, build, develop, and implement corporate governance structure in line with statutory provisions.

EDUCATION:

LLB (Hons) from an accredited university, LLM (added advantage);
Must be called to the Nigerian Bar.

TECHNICAL REQUIREMENTS:

Experience in Capital Market is an added advantage;
SEC Sponsored Individual status is an added advantage.

WORK EXPERIENCE:

Minimum of five years’ work experience in relevant field.
