Position Summary:
The Head of Legal and Compliance / Company Secretary will oversee all legal, compliance, and corporate governance matters for the organization. This leadership role ensures the company adheres to legal frameworks and regulatory requirements while offering strategic legal guidance to the Board and executive leadership. The position includes company secretarial duties, ensuring statutory compliance for legal entities.
Key Responsibilities:
Legal and Compliance:
Lead the legal and compliance function, providing risk mitigation and timely legal guidance.
Develop and monitor compliance programs aligned with regulatory requirements.
Advise the Board, CEO, and senior management on legal, regulatory, and industry issues.
Manage corporate contracts, agreements, intellectual property, and litigation.
Ensure compliance with AML, anti-bribery, and data protection laws.
Conduct compliance audits, investigations, and regulatory reporting.
Company Secretarial:
Serve as Company Secretary, ensuring statutory compliance with corporate governance.
Organize and attend Board and shareholder meetings; prepare agendas, resolutions, and minutes.
Maintain compliance with corporate filing requirements and advise on governance best practices.
Leadership and Strategy:
Lead and mentor the Legal and Compliance team.
Align legal and compliance strategies with company objectives and risk tolerance.
Provide legal and compliance training to enhance company-wide awareness.
Other Responsibilities:
Manage external legal advisors and service providers.
Oversee legal aspects of major transactions like mergers and acquisitions.
Qualifications:
Education: LLB (Bachelor of Laws); LL.M or ICSA certification preferred.
Experience: Minimum 10 years in legal, compliance, and governance, with 5+ years in leadership roles.
Proven expertise in corporate contracts, mergers, intellectual property, and dispute resolution.
Familiarity with regulatory frameworks such as AML, GDPR, and securities laws.
Skills:
Strong knowledge of corporate, securities, and contract law.
Proficient in compliance and governance frameworks.
Excellent leadership, communication, and strategic planning skills.
Ability to align legal strategies with organizational goals.
