Director Legal / Company Legal Secretary

Job Summary

Our client is seeking for a highly skilled and experienced Director Legal / Company Secretary to join our leadership team. The ideal candidate will ensure compliance with corporate governance standards, provide strategic legal advice, and oversee all legal and regulatory matters of the company.

Responsibilities 
Legal Advisory and Compliance:

Provide strategic legal guidance to the Board of Directors and senior management.
Oversee all legal matters, including contracts, litigation, intellectual property, and regulatory compliance.
Ensure the company complies with relevant laws, regulations, and corporate policies.
Mitigate legal risks by advising on regulatory and contractual matters.

Company Secretarial Duties:

Act as the primary liaison between the Board of Directors, shareholders, and stakeholders.
Prepare and manage board and committee meetings, including drafting agendas, resolutions, and minutes.
Maintain statutory registers, records, and filings as required by law.
Ensure compliance with corporate governance standards and manage shareholder communications.

Leadership and Management:

Lead and manage the legal department, providing mentorship and support to the team.
Collaborate with cross-functional teams to align legal strategies with business goals.
Provide training on legal and compliance matters to employees and management.

Risk Management:

Develop and implement policies and procedures to manage and mitigate legal risks.
Ensure effective handling of disputes, negotiations, and litigation cases.

Education, Qualification and Experience

Bachelor’s degree in Law (LLB); a Master’s degree (LLM) or additional certification (e.g., CS qualification) is an advantage.
Minimum of 17 years of experience in corporate legal practice, with at least 5 years in a leadership role.

Skills and Competencies:

Expertise in corporate governance, contract law, compliance, and regulatory frameworks.
Strong knowledge of corporate laws, securities regulations, and company secretarial practices.
Proven track record of providing strategic legal advice at the executive level.
Excellent interpersonal, negotiation, and communication skills.
High attention to detail, ethical integrity, and organizational skills.

Preferred Attributes:

Experience working in a multi-jurisdictional or international environment.
Strong leadership and team-building capabilities.
Ability to thrive in a fast-paced and dynamic work environment.

Personal Attribute:

Ideal candidate must be a male not less than 47 years of age.
Preferred candidates should have experience from known multinational FMCG (Popular Brand), Telecoms, Banking or Legal firms.
