Job Summary

We are looking for a proactive and meticulous Legal & Governance Lead to deliver comprehensive legal, regulatory, and governance assistance to all Angela entities. This position will be responsible for managing contracts, legal risk oversight, regulatory interactions, and conflict resolution, in addition to contributing to key strategic projects such as mergers and acquisitions, project development, and market expansion initiatives.

Oversee and execute a comprehensive range of duties and obligations central to the position, ensuring adherence to established protocols and operational standards. Responsibilities encompass the supervision, coordination, and completion of tasks critical to the role’s objectives, with a focus on maintaining efficiency, accuracy, and compliance within all assigned functions. Actively collaborate with cross-functional teams to align efforts with organizational goals, troubleshoot challenges, and drive continuous improvement across processes. Maintain meticulous documentation, track performance metrics, and provide timely reports to stakeholders to support data-driven decision-making and strategic initiatives. Demonstrate proficiency in utilizing relevant tools, systems, and technologies to streamline workflows and enhance productivity. Exhibit strong problem-solving abilities, adaptability, and a commitment to professional development to meet evolving demands and contribute to the organization’s success.

Implements established legal service best practices for assigned transactions.

Deliver expert, thorough legal counsel, drafting and examining legal opinions and agreements as needed by stakeholders.

Engage in commercial discussions for transactions involving Angela and its subsidiaries, preparing, evaluating, and summarizing critical terms within commercial agreements while securing required internal approvals.

Offer strategic legal guidance to Angela Entities regarding the legal ramifications of upcoming policies, decisions, and actions across diverse areas such as midstream gas operations, mergers and acquisitions, power sector regulations, employment law, contract management, litigation, lease agreements, regulatory compliance, and intellectual property matters.

Deliver timely updates and detailed analysis on emerging laws and regulations, ensuring their correct interpretation and application across all relevant Axes internal teams and departments. Additionally, formulate strategic recommendations for management, outlining the specific actions required to maintain compliance and mitigate risks.

Offer comprehensive dispute resolution administrative assistance to the Angela Entities, collaborating closely with the Legal Manager in overseeing Angela’s litigation and related dispute resolution initiatives as needed.

Act as a liaison with external legal counsel, ensuring consistent receipt of progress reports regarding active legal proceedings.

Offer a full range of assistance covering Corporate Secretarial and Compliance functions for corporate transactions and strategic initiatives, including acquisitions, board evaluations, and other special projects.

Deliver strategic guidance to enhance the corporate compliance framework by identifying and executing essential enhancements to the compliance program structure.

Draft board papers, resolutions, and other essential documentation to facilitate the Board’s decision-making process and ensure effective implementation of its directives.

Prepare legal correspondence, files, and archival documents, as well as case folders.

Responsible for the regular maintenance and updating of both electronic and physical databases under the supervision of the legal department.

Collaborate closely with the Angela Finance team to facilitate timely processing and settlement of all legal invoices.

Performs any additional tasks as assigned by the General Counsel, Company Secretary, or Legal Manager as required.

Requirements

A recognized university degree in Law, classified at least as a second-class honour, constitutes the essential academic prerequisite for this position.

A minimum of seven years of legal experience is required, obtained either through a reputable law firm or within a legal department.

Develop strong legal research and analytical skills to evaluate complex legal issues and provide well-reasoned conclusions.

Proven ability to exercise strong business judgment and make sound decisions.
