Due Date and Time for Submission of Quotes:  November 14, 2018, 12:00noon GMT
Pact is a Non – Governmental Organization (NGO) located in over 20 countries, including Nigeria.  With funding from The Bill & Melinda Gates Foundation, Pact hereby request for the submission of quotes from interested and reputable organizations for the provision of Legal Services to Pact West Africa herein referred to as “Pact”.
.      Scope of services
Some of the general and specialized legal services that Pact may require on a need basis pertain to:

The legal firm or independent lawyer will provide comprehensive legal advice regarding contracts and potential disputes arising from these contractual engagements.
Provision of legal advice on labor related concerns, finance, corporate governance, occupational health and safety laws among other legal issues.
Drafting and reviewing of vendor related contracts for supply of goods and services.
Drafting and /reviewing of agreements, contracts, letters to Pact staff and partners.
Legal representation for labour dispute, mediation and lawsuits against, and / or instituted by the organization.
Provide advisory services on changes in law and their impact on Pact operations.
To arrange with and to call and hold meetings of the board and to prepare a correct record of proceedings.
To attend the board meetings to ensure that the legal requirements are fulfilled, and provide such information as are necessary.
To prepare, approve, sign and seal agreements leases, legal forms, and other official documents on the company’s behalf, when authorized by the broad of the trustees or the executive responsible.
Act as Company Secretary to the organization.

2.      Duration of Service
The duration of the engagement is 8 months effective as the expected end date of the contract is June 30, 2019 with the possibility of extension based on satisfactory performance.
3.      Required Expertise
Suitable firms who are interested in this RFQ are required to meet the following expertise:

Provision of detailed relevant legal qualifications of key personnel
Demonstrated experience working on matters pertaining to development work (local and international context).
Demonstrated experience in developing legal instruments.
Research skills.
Ability to communicate effectively to diverse audiences.

As part of the bid, you are required to provide:

Evidence of company registration certificate with the Corporate Affairs Commission (CAC).

Evidence of licence to operate as a law firm in Nigeria.
Evidence of Tax Clearance Certificate for the last 3 years (2015, 2016 and 2017).
Evidence of Audited account for year end 2017.
Satisfactory records of performance history, integrity and business ethics.

Provide evidence of managing a comparable international organization, including a description of the services rendered and the management plan implemented.

Currencies:
Prices shall be stated in Naira (N).
Language:
The quote, as well as all correspondence and documents relating to the offer, shall be in English.
Validity:
Quotes shall remain valid for 90 calendar days from the due date for receipt of quotes. In exceptional circumstances, prior to expiry of the original offer validity period, Pact may request that the Bidder extend the period of validity for a specified additional period.  A Bidder agreeing to the request will not be required to modify their quote.
Due Date and Time for Submission of Quotes:

Quotes and all required supporting documentation must be received by Pact no later than the due date and time as shown above.  Pact may, at its discretion, extend the due date and time for the submission of quotes by amending this RFQ.

Any quote received by Pact after the due date and time for submission of quotes will be rejected.

Evaluation of Quotes:
Quotes will be evaluated based on the following criteria:

Overall responsiveness of the quote

Cost
Confirmation of suitability by reference provided

Information for Bidders
Clarification of Quotes:
During evaluation of the quotes, Pact may, at its discretion, ask the bidder for a clarification of their quotes. Clarifications are limited exchanges with a Bidder to resolve minor or clerical errors; they do not offer an opportunity for a Bidder to modify or change an offer.
Award Criteria:
Pact is not obligated to make an award by having issued this solicitation. Any award(s) will be made to the responsible bidder whose offer(s) has/have been determined to be most advantageous to Pact.   
Pact has the right to withdraw or change this RFQ at any time.  Bidders’ quotes are done so at the sole cost and expense of the bidder with no obligation on the part of Pact.
Confidentiality:
Information submitted in response to this RFQ will be held in confidence.
